1: Because AIDS kills and Influenza usually kills elderly people, very young people (usually under 5 I suppose), people with asthma and people who are already sick and it also makes people, very, very sick, some have to go to the hospital for treatment.

2: Because the disease keeps mutating. A vaccine gives you a dead version of a virus, to trick your body into thinking you had that disease, so your imune system recognises it and is able to kill the cell with the disease in it, thus killing the disease. But, with AIDS, if they make a vaccine for it, the AIDS virus will simply mutate, and no matter how many vaccines they come oup with for it, it will simply keep mutating. That is probably why a cure hasn't been found yet. But one day perhaps, a cure will be found :).

You got two good answers already, but I want to touch on the word pandemic.
An epidemic is a localized condition, It can be a terrible disease like Ebola, but it runs to hot (kills quickly) to spread to far.
A pandemic on the other hand, may not run as hot but can still be very deadly. The problem is that the onset of influenza, etc. can be mistaken for a cold, etc. Most people just go about their business which in some cases might involve flying off to another country, thereby spreading it. It isn't mentioned to much, but during WWI there was an influenza pandemic that killed more people than the war did. I think that's a very good reason to be watching for a potential pandemic disease.

1. People can die as a result of AIDS and influenza.

2. The main reason that there is no cure for HIV, the virus that can lead to AIDS, is that the virus mutates (changes) so much. A vaccine may be effective against a few strains, but not all of them.
